Terms and Conditions of Trade

Website, phone and in store. Version 1.2, October 2026

1. ABOUT THESE TERMS

1.1  These terms apply to every purchase from us, every sale to us, and every enquiry or order made through our website, by phone, by email or in our store at 5/21 Production Street, Noosaville QLD 4566.

1.2  In these terms, "we", "us" and "our" means Auscity Pty Ltd ACN 602 847 021 trading as Sovereign Vault & Bullion and Harringtons Noosa. "You" means the person or entity buying from or selling to us, including any company, trust or self managed super fund you act for.

1.3  By placing an order, accepting a quote or selling goods to us, you agree to these terms. If you act for an entity, you confirm you are authorised to bind it.

1.4  Safekeeping, vault storage and safety deposit boxes are governed by our Vault Storage Agreement. If that agreement conflicts with these terms, that agreement prevails for those services.

1.5  Nothing in these terms excludes, restricts or modifies any right or remedy you have under the Australian Consumer Law or any other law that cannot be excluded.

1.6  You must be at least 18 years of age to buy from or sell to us.

1.7  If two or more people buy or sell together, each of them is jointly and severally liable under these terms, and we may act on the instructions of any one of them unless they tell us in writing that we must act on joint instructions.

2. GENERAL INFORMATION ONLY, NOT FINANCIAL ADVICE

2.1  We are a dealer in precious metals. We do not hold an Australian Financial Services Licence and we do not provide financial, investment, tax, legal or superannuation advice.

2.2  Any market commentary, price information, charts or educational content we provide is general information only. It does not take into account your objectives, financial situation or needs. You should obtain independent professional advice before making an investment decision.

2.3  The value of precious metals rises and falls. Past performance is not a reliable indicator of future performance. You may receive less than you paid if you sell.

3. PRICES AND QUOTES

3.1  Our prices move with the international spot price of each metal and the Australian dollar exchange rate. Prices on our website are live. Prices quoted in store or by phone are indicative and may change at any time until your order is accepted under clause 4.

3.2  All prices are in Australian dollars. Prices include GST where GST applies (see clause 12).

3.3  If a price is displayed or quoted in obvious error (for example, because of a technical fault or a data feed error), we may cancel the order and refund any money you have paid, even after confirmation.

3.4  A quote given by phone, email or in store is valid only for the period stated at the time it is given. If no period is stated, it is valid only at the time it is given.

4. ORDERS AND WHEN THE PRICE IS LOCKED

4.1  For online orders, the order is accepted, and the price is locked, at the live price shown when you place the order and our website confirms it. For phone and in store orders, the order is accepted, and the price is locked, when we issue you an order confirmation or invoice (in writing, or verbally by phone, with a written confirmation to follow). From acceptance a binding contract exists, and both you and we carry the market risk on the agreed price.

4.2  We may decline any order, in whole or in part, before acceptance, including where stock is unavailable, the order exceeds our limits, or we cannot complete the checks described in clause 6.

4.3  We do not accept phone or in store orders outside business hours. Online orders may be placed at any time and are accepted at the live price when placed, subject to clauses 3.3, 4.2 and 6.

4.4  Stock images are for illustration. Designs, mint years and packaging may differ from the image, but the metal, weight and purity will match your order.

5. PAYMENT

5.1  Payment in full is due on acceptance of your order. Payment must be received, or confirmed by your bank as sent, within 24 hours of acceptance, and the funds must clear within 2 business days. If payment is not received or confirmed as sent within 24 hours, or does not clear within 2 business days, we may cancel the order and clause 7 applies. We recommend PayID or Osko, which clear within minutes.

5.2  We accept cash (in store only), direct deposit to our nominated bank account, and debit and credit cards. Card payments are limited to $2,000 per transaction. We do not charge a surcharge for card payments.

5.3  Direct deposits and card payments must come from an account or card in the customer’s own name. We do not accept payment from third parties. Please quote your invoice number as the payment reference.

5.4  Cash transactions of $10,000 or more are reported to AUSTRAC as required by law. Splitting a transaction into smaller amounts to avoid reporting is an offence, and we will not process transactions structured in this way.

5.5  Ownership of goods passes to you only when we have received cleared funds in full and the goods have been delivered or collected.

6. IDENTIFICATION AND OUR LEGAL OBLIGATIONS

6.1  We are a reporting entity under the Anti-Money Laundering and Counter-Terrorism Financing Act 2006 (Cth) and we hold a Queensland second-hand dealer licence. These laws require us to identify and verify our customers, screen them against sanctions lists, keep records and report certain matters to government authorities.

6.2  We will ask you for identification, and in some cases information about the source of your funds or wealth, whenever the law or our AML/CTF program requires it. For a company, trust or self managed super fund, we will also need details of the entity and the people who own or control it.

6.3  We may refuse, delay, suspend or cancel any transaction, without giving reasons, if you do not provide the information we request, if we cannot verify it, or if we believe the transaction may breach any law, including sanctions laws.

6.4  We are not liable for any loss you suffer, including market loss, because we refuse, delay, suspend or cancel a transaction to comply with the law.

6.5  We may be prohibited by law from telling you why a transaction has been refused or delayed, or whether a report has been made about it.

6.6  We may verify your identity electronically, using a third party identity verification service that checks the details you give us against official records, including the Document Verification Service. If you do not want your identity verified electronically, you may attend our store with your original identity documents instead.

7. IF YOU DO NOT PAY OR YOU CANCEL

7.1  Because your price is locked on acceptance, you cannot cancel an accepted order for change of mind.

7.2  If you do not pay in full by the due date, or you ask to cancel an accepted order and we agree, we may cancel the order. We may then, at our discretion, charge you either or both of: (a) any loss caused by a fall in the market price between acceptance and cancellation, calculated on our buy price at the time of cancellation; and (b) our reasonable costs of processing and cancelling the order, including any payment processing, banking or courier costs.

7.3  We may deduct any amount owing under this clause from money you have paid to us or that we owe to you.

8. COLLECTION AND DELIVERY

Collection in store

8.1  Goods may be collected in store during business hours once cleared funds have been received. The customer named on the invoice must attend and produce current photo identification. We do not release goods to a third party unless we have the customer’s written authority and have identified the person collecting.

8.2  We hold paid orders for collection for 30 days, unless we agree otherwise in writing. After 30 days, we may, at our discretion and after giving you written notice (including by email or text message), place the goods in safekeeping in our vault, and our standard storage fees apply from that date at your cost.

Delivery

8.3  We deliver only within Australia, to the customer’s verified address, by an insured and tracked service that requires a signature and photo identification on delivery. We do not accept authority to leave instructions. Higher value orders may be sent by secure courier, which may require delivery to a business address or collection from a depot. Freight and insurance charges are shown at checkout or on your invoice and are payable by you.

8.4  We dispatch orders Monday to Thursday only, so that parcels are not held in transit over a weekend. We do not dispatch on Fridays, weekends or public holidays. Orders are dispatched on the next available dispatch day after cleared funds are received, subject to stock availability. Delivery times are estimates, and we will contact you if there is a delay.

8.5  Risk in the goods passes to you on delivery or collection. You must inspect the parcel on delivery and report any damage, tampering or missing items to us within 24 hours, with photographs, and before opening any tamper evident packaging where possible. If a parcel has not arrived within 5 business days of dispatch, you must tell us promptly so that we can lodge a claim with the carrier.

9. RETURNS, REFUNDS AND CONSUMER GUARANTEES

9.1  Our goods come with guarantees that cannot be excluded under the Australian Consumer Law. You are entitled to a replacement or refund for a major failure and compensation for any other reasonably foreseeable loss or damage. You are also entitled to have the goods repaired or replaced if the goods fail to be of acceptable quality and the failure does not amount to a major failure.

9.2  We guarantee that every bullion product we sell is genuine and of the metal, weight and purity described. If a product we sold you is shown not to be genuine, we will refund the purchase price in full.

9.3  Because precious metal prices change continuously, we do not accept returns for change of mind, a change in market price, or because you found a lower price elsewhere.

9.4  If you receive the wrong item, tell us within 24 hours of delivery or collection and return it unopened and in its original packaging. We will exchange or refund it.

10. SELLING TO US (BUYBACK)

10.1  When you sell goods to us, you warrant that you are the legal owner of the goods, or are authorised by the owner to sell them, that they are free of any security interest or claim, and that they have not been stolen or obtained unlawfully.

10.2  Before we buy, we must sight and record your current government issued photo identification and record details of the goods and the price paid, as required by the Second-Hand Dealers and Pawnbrokers Act 2003 (Qld) and the AML/CTF Act. We do not buy from anyone under 18, or from anyone who appears intoxicated or unable to understand the transaction.

10.3  We may test any item, including by non destructive XRF analysis. If further testing is needed that could mark or alter the item, we will ask for your consent first.

10.4  Our buy price is the price we quote at the time we accept your goods, based on the metal content we determine by testing and weighing. Collectable, numismatic or premium value is not included unless we agree otherwise in writing.

10.5  We may refuse to buy any item without giving reasons. We may hold goods we buy for any period required by law, and we may provide sale records and goods to the Queensland Police Service or other authorities on request.

10.6  If goods you sold to us are later found to be stolen, counterfeit, or not as you represented, you must repay us the amount we paid, together with our reasonable costs.

10.7  We pay sellers by bank transfer to an Australian account in the seller’s own name, or by another method we agree, once the transaction is complete.

11. TAX AND SUPERANNUATION

11.1  Sales and purchases of precious metals may have income tax or capital gains tax consequences for you. You are responsible for your own tax obligations and record keeping.

11.2  If you buy for a self managed super fund, the trustee is responsible for ensuring the investment complies with the fund’s investment strategy, the superannuation laws and the sole purpose test, and that the fund’s assets are held in the name of the trustee and kept separate from personal assets. Invoices will be issued in the name of the trustee as trustee for the fund.

12. GST

12.1  Precious metal that meets the definition of "precious metal" in the A New Tax System (Goods and Services Tax) Act 1999 (Cth) is GST free on its first supply after refining and is input taxed on later supplies. Other items, including jewellery, numismatic and collectable coins and accessories, are generally subject to GST. Freight and insurance charges include GST. Our invoices show the GST treatment of each item.

13. OUR LIABILITY

13.1  Subject to clause 1.5, and to the extent permitted by law, we are not liable for any indirect or consequential loss, or any loss of profit, opportunity or market gain, arising from your dealings with us.

13.2  Where the law permits us to limit our liability for a failure to comply with a consumer guarantee for goods not of a kind ordinarily acquired for personal, domestic or household use, our liability is limited, at our option, to replacing the goods or supplying equivalent goods, or paying the cost of doing so.

13.3  Nothing in this clause limits our liability for our fraud, negligence or wilful misconduct.

14. EVENTS BEYOND OUR CONTROL

14.1  We are not liable for any delay or failure to perform caused by events beyond our reasonable control, including natural disasters, pandemics, war, terrorism, government action, failure of banking, payment or courier systems, disruption to supply from refiners or mints, or suspension of trading in international markets. If such an event continues for more than 10 business days, either party may cancel the affected order and any money paid for undelivered goods will be refunded.

15. WEBSITE USE

15.1  Content on our website is provided for general information and may contain errors or be out of date. We do not guarantee the website will be uninterrupted or free from viruses.

15.2  All content on our website, including text, images, logos and branding, belongs to us or our licensors. You may not copy or reuse it without our written permission.

15.3  Links to other websites are provided for convenience only. We do not endorse and are not responsible for their content.

16. PRIVACY

16.1  We handle your personal information in accordance with our Privacy Policy, available on our website and in store on request.

17. COMPLAINTS

17.1  If you are unhappy with our service, please contact us using the details below. We will acknowledge your complaint within 2 business days and aim to resolve it within 10 business days. If you are not satisfied with our response, you may contact the Queensland Office of Fair Trading.

18. GENERAL

18.1  These terms are governed by the laws of Queensland. You and we submit to the non exclusive jurisdiction of the courts of Queensland.

18.2  We may update these terms from time to time by publishing the updated version on our website and in store. The version in force when your order is accepted applies to that order.

18.3  If any part of these terms is invalid or unenforceable, it will be read down or severed, and the rest of the terms will continue to apply.

18.4  A failure or delay by us in enforcing any right is not a waiver of that right.

18.5  Any notice we give you under these terms, including a notice under clause 8.2, may be given in writing by email or text message to the contact details you have given us, by hand, or by post.
